Terms and Conditions – Actirise WordPress Plugin

1. Acceptance of Terms

By installing and using the Actirise WordPress plugin (the “Plugin”), you fully and unconditionally accept these Terms and Conditions. If you do not agree, you must not install or use the Plugin.

2. User Eligibility

By installing and using the Plugin, you confirm that you are at least 18 years old and possess the legal capacity to enter into binding agreements.

3. Purpose of the Plugin

The Plugin is provided free of charge and is designed exclusively to act as a technical connector between your WordPress website and two distinct services operated by companies within the Sparteo group:

  1. FastCMP (a Consent Management Platform), and
  2. Actirise (a programmatic monetization platform)

The Plugin does not itself provide monetization or consent management functionalities, but enables access to these external services by facilitating the necessary technical integration between your website and their respective systems.

Each of these services is independent of the Plugin and is governed by its own terms and conditions, including separate Terms of Use and Privacy Policies. By using the Plugin, you acknowledge that these services are operated and managed separately from the Plugin and require your acceptance of their respective legal frameworks.

1. FastCMP (Consent Management Platform)

  • Function: FastCMP is a free service that allows you to manage user consent regarding cookies and tracking technologies in compliance with supported data protection laws.

2. FlashBid (Actirise Advertisement System)

  • Function: FlashBid enables monetization of your website’s content through targeted advertising.
  • Access: Activation requires entering into a separate agreement with Actirise. The Plugin serves as a prerequisite technical integration, but does not constitute a monetization agreement on its own.

4. User Responsibilities

You agree to use the Plugin in compliance with all applicable laws and regulations and not to use it for any unlawful or prohibited purposes. You are solely responsible for the content or data you manage through the Plugin and for securing any necessary consents from your end-users.

You agree to indemnify and hold Actirise (and its officers, employees, and agents) harmless from any claims, losses, or liabilities arising from your misuse of the Plugin, your violation of these Terms, or infringement of third-party rights.

5. Connection to Sparteo Servers

The Plugin establishes a secure connection with Sparteo group servers to enable monetization, ad delivery, and performance monitoring. It may transmit technical data such as your site URL, plugin version, and usage logs.

6. Data Collection and Privacy

All data is handled in accordance with the Privacy Policy available at https://corporate.sparteo.com/privacy-policy and applicable data protection laws. You are responsible for obtaining any required end-user consent (e.g., for cookies or personal data collection).

7. License Grant and Permitted Use

This Plugin is distributed under the GNU General Public License v2.0 (GPL), which grants you the freedom to use, study, modify, and redistribute the Plugin and derivative works, provided that all copies and derivatives remain under the same GPL license. Nothing in these Terms limits your rights under the GPL with respect to the Plugin’s source code.

While the Plugin is distributed under the GNU General Public License v2.0 (GPL), which applies solely to its source code and derivative works, this open-source license does not extend to the services it connects to. FastCMP and FlashBid (Actirise Advertisement System) are distinct proprietary platforms, and their respective software, APIs, content, interfaces, and branding are not part of the Plugin and remain the exclusive intellectual property of their respective operators within the Sparteo group. Using the Plugin does not grant you any license or rights over the intellectual property of FastCMP, FlashBid, Actirise, or any affiliated entities, including but not limited to source code, technology, algorithms, trademarks, or design elements. All use of these external services must comply with their own licensing terms and intellectual property rights.

8. Intellectual Property

All intellectual property rights in the Plugin and related materials remain the exclusive property of Actirise (or its licensors). Use of the Plugin does not confer any ownership rights.

You must not remove or alter any proprietary notices or branding. “Actirise” and its logos are trademarks; this agreement does not grant trademark rights except for internal reference.

9. Compatibility and Updates

The Plugin is designed to work with WordPress. Actirise does not guarantee compatibility with all environments, systems, or third-party tools or any modifications made on the Plugin.

Actirise may release updates to improve functionality or security. You are responsible for installing updates. Actirise reserves the right to modify or discontinue the Plugin at any time without liability.

Actirise will make reasonable efforts to fix critical bugs. Standard support (if any) is available on an “as-available” basis. Actirise reserves the right to end support for outdated versions.

10. Third-Party Services and APIs

The Plugin may interact with other services operated by entities of the Sparteo Group or third-party (e.g., ad networks, analytics, social media). You are responsible for compliance with any third-party terms and policies. Actirise is not liable for issues caused by third-party services or their discontinuation. Data exchanged via such integrations is subject to the third party’s privacy policies.

11. Security

Actirise implements appropriate security measures (e.g., secure APIs, encryption, audits) to protect Plugin data. However, no system is fully secure. You are responsible for maintaining your own website security (e.g., CMS updates, secure passwords). If Actirise detects threats or violations, it may block access to preserve system integrity and will notify you of any significant security incidents in accordance with applicable law.

12. Disclaimer of Warranty

You agree to use the Plugin at your own risk. The Plugin is provided “as is” and “as available,” without warranty of any kind.

Actirise disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Actirise does not guarantee the Plugin will meet your expectations or be error-free.

Actirise is not responsible for data loss, revenue loss, or other harm arising from use of the Plugin.

13. Limitation of Liability

To the fullest extent permitted by law, Actirise shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data.

Actirise’s total liability shall not exceed the amount you paid (if any) for the Plugin. If you are dissatisfied with the Plugin, your sole remedy is to stop using it.

14. Termination

14.1. Termination by You

You may terminate these Terms at any time by uninstalling the Plugin.

14.2. Termination by Actirise

Actirise may suspend or terminate your access immediately without notice if you:

  • Violate these Terms or applicable laws,
  • Misuse the Plugin or cause system harm,

You must delete all Plugin copies upon termination. Sections such as IP, Warranties, Liability, and Governing Law shall survive termination.

15. Amendments to Terms

Actirise may revise these Terms at any time. The latest version will be posted on Actirise website or via the Plugin. Continued use after updates constitutes acceptance of the revised Terms.

16. Governing Law

THESE TERMS ARE GOVERNED BY THE LAWS OF FRANCE. ANY DISPUTES SHALL BE RESOLVED IN THE EXCLUSIVE JURISDICTION OF THE COURTS OF PARIS.
